TERMS OF USE

Effective Date: 22 September 2026

Welcome to ComplianceVault (“ComplianceVault”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of the ComplianceVault website, platform, applications, document storage services and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Service.

1. ABOUT THE SERVICE

ComplianceVault provides a digital platform that enables users and organisations to store, organise, manage, access and, where enabled, share documents and related information electronically.

The specific features available to you may depend on your account, subscription plan or service arrangement.

2. ELIGIBILITY

You must be legally capable of entering into a binding agreement to use the Service.

If you use ComplianceVault on behalf of a company, organisation or other entity, you confirm that you have authority to accept these Terms on its behalf.

3. USER ACCOUNTS

Certain features may require you to create an account.

You are responsible for:

  • Providing accurate and current information;
  • Maintaining the confidentiality of your login credentials;
  • Protecting access to your account;
  • All activity conducted through your account; and
  • Notifying us promptly if you believe your account has been compromised.

You must not share your account credentials with unauthorised persons or permit others to access your account in breach of your subscription or organisational permissions.

We reserve the right to suspend or restrict accounts where we reasonably believe there has been unauthorised access, misuse, fraud, security concerns or a violation of these Terms.

4. YOUR DOCUMENTS AND CONTENT

You retain ownership of documents, files, information and other content that you upload to ComplianceVault (“User Content”).

You grant ComplianceVault a limited, non-exclusive licence to host, store, process, transmit, reproduce and otherwise handle your User Content only to the extent reasonably necessary to provide, maintain, secure and improve the Service.

We do not acquire ownership of your documents merely because you store them on ComplianceVault.

You are responsible for ensuring that you have the necessary rights and permissions to upload, store, process or share your User Content.

5. PROHIBITED CONTENT AND USE

You must not use the Service to:

  • Upload or store content that is unlawful;
  • Infringe another person’s intellectual property or other rights;
  • Distribute malware, viruses or other malicious code;
  • Attempt to gain unauthorised access to the Service or another user’s account;
  • Circumvent security or access controls;
  • Interfere with the operation or security of the Service;
  • Use the Service for fraudulent or deceptive purposes;
  • Use the Service in a manner that violates applicable laws or regulations; or
  • Attempt to reverse engineer, copy or exploit the Service except where permitted by law.

We may remove or restrict access to content where reasonably necessary to comply with law, protect the Service or address a serious violation of these Terms.

6. DOCUMENT STORAGE AND BACKUPS

ComplianceVault is intended to provide electronic document storage and management functionality.

While we take reasonable measures to maintain the availability and integrity of the Service, you remain responsible for maintaining appropriate copies or backups of important documents, particularly where those documents are critical to your business or legal obligations.

We do not guarantee that the Service will be uninterrupted, completely error-free or permanently available.

Temporary interruptions may occur because of maintenance, upgrades, technical failures, security incidents, telecommunications failures or circumstances beyond our reasonable control.

7. SECURITY

We take reasonable technical and organisational measures designed to protect information stored through the Service.

However, no internet-based service can guarantee absolute security.

You are responsible for maintaining appropriate account security, including the use of strong passwords and any available multi-factor authentication.

You should notify us promptly if you become aware of suspected unauthorised access to your account.

8. PRIVACY

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, store and otherwise process personal information.

The Privacy Policy forms part of these Terms.

9. INTELLECTUAL PROPERTY

The ComplianceVault platform, website, software, design, branding, logos, text, graphics and other materials provided by us are owned by or licensed to ComplianceVault and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy or reproduce the platform;
  • Modify or create derivative works;
  • Sell, licence or commercially exploit the platform;
  • Reverse engineer the platform; or
  • Use our branding or intellectual property without written permission.

These restrictions do not affect your ownership of your User Content.

10. THIRD-PARTY SERVICES

The Service may integrate with or rely on third-party services, software, hosting providers, payment processors, authentication providers or other technologies.

Third-party services may be subject to their own terms and privacy policies.

We are not responsible for services that are independently operated by third parties.

11. FEES AND SUBSCRIPTIONS

Where the Service is provided on a paid subscription basis, applicable fees, billing periods, usage limits and payment terms will be communicated to you at the time of purchase or subscription.

Unless otherwise stated:

  • Subscription fees are payable in advance;
  • You are responsible for providing accurate billing information;
  • Fees are non-refundable except where required by law or expressly stated otherwise; and
  • We may change pricing upon reasonable notice.

Failure to pay applicable fees may result in suspension or termination of access to paid features.

12. FREE TRIALS AND PROMOTIONAL SERVICES

Where we offer a free trial, promotional period or complimentary service, additional conditions may apply.

We reserve the right to modify or discontinue promotional offers at any time, subject to applicable law.

13. TERMINATION

You may stop using the Service or close your account in accordance with the applicable account or subscription procedures.

We may suspend or terminate your access where:

  • You materially breach these Terms;
  • Your account is used unlawfully or fraudulently;
  • Your use creates a security risk;
  • Payment obligations remain outstanding; or
  • We are required to do so by law.

Where reasonably practicable, we will provide notice before termination or suspension, except where immediate action is necessary to protect the Service, users or comply with legal requirements.

14. EFFECT OF TERMINATION

Following termination, your right to access the Service will cease, subject to any applicable data retention or recovery period communicated to you.

Where applicable, we may provide a reasonable opportunity for you to export your documents before permanent deletion.

You are responsible for exporting or retrieving your documents before the end of any applicable retention period.

Certain provisions of these Terms, including intellectual property, liability, confidentiality and dispute provisions, may continue after termination where applicable.

15. DISCLAIMER

The Service is provided on an “as available” and “as is” basis to the extent permitted by law.

We do not guarantee that:

  • The Service will always be available;
  • The Service will be completely error-free;
  • Documents will never be lost, corrupted or inaccessible;
  • The Service will meet every particular business requirement; or
  • The Service will be suitable for every purpose.

Nothing in these Terms excludes any consumer or other legal rights that cannot lawfully be excluded.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, ComplianceVault will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the Service.

This may include loss of profits, business interruption, loss of opportunity or loss of anticipated savings.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by law.

17. YOUR RESPONSIBILITY

You are responsible for:

  • The accuracy and legality of your User Content;
  • Maintaining appropriate backups of important information;
  • Your account credentials and access controls;
  • Ensuring that your use of the Service complies with applicable laws; and
  • Ensuring that individuals authorised to access your organisation’s account have appropriate permissions.

18. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify and hold ComplianceVault and its officers, employees and service providers harmless from claims, losses, damages and reasonable costs arising from:

  • Your unlawful use of the Service;
  • Your breach of these Terms;
  • Your violation of another person’s rights; or
  • User Content that you upload or distribute through the Service.

19. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to the Service, applicable laws, technology or our business practices.

Where appropriate, we will provide notice of material changes.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

20. CHANGES TO THE SERVICE

We may modify, improve, suspend or discontinue features of the Service from time to time.

Where reasonably practicable, we will provide notice of significant changes that materially affect your use of the Service.

21. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Botswana.

Any dispute arising from or relating to these Terms shall be subject to the jurisdiction of the competent courts of Botswana, unless otherwise required by applicable law.

22. GENERAL

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce it later.

These Terms constitute the agreement between you and ComplianceVault regarding your use of the Service, except where separate written terms apply to a specific product or enterprise arrangement.
